Terms of Service
These Terms govern access to truelabel, a marketplace for sourcing, evaluating, licensing, and delivering physical AI training data. In these Terms, "truelabel," "we," "us," and "our" mean the truelabel operator identified in the applicable account record, order form, invoice, or written agreement (the "Provider"). If you use truelabel for an organization, you represent that you can bind that organization to these Terms.
1. Agreement and service scope
By creating an account, accessing the site, submitting a bounty, bidding on work, uploading data, downloading dataset materials, or otherwise using truelabel, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the service.
truelabel supports marketplace workflows for physical AI datasets, including dataset listings, buyer requests, supplier proposals, collection specifications, quality review, licensing, payment coordination, and related operational tools. Additional terms in a signed order form, master services agreement, data processing agreement, bounty specification, or statement of work will control only where they directly conflict with these Terms.
2. Eligibility and accounts
You must be at least 18 years old, able to form a binding contract, and permitted to use the service under applicable law. You must provide accurate account, organization, tax, payout, and compliance information and keep it current.
You are responsible for safeguarding credentials and for activity under your account. You may not sell, transfer, share, or assign your account without our written approval. We may require identity, organization, sanctions, tax, payment, or rights verification before enabling certain marketplace actions.
3. Marketplace role
truelabel is a marketplace and workflow layer. Unless a separate written agreement says otherwise, we are not a party to the underlying buyer-supplier contract, we do not employ suppliers or contributors, and we do not guarantee that any buyer, supplier, dataset, collection method, annotation, license, or downstream use will meet your legal, safety, technical, regulatory, or business requirements.
We may review listings, bounties, bids, files, metadata, communications, and transactions for safety, quality, fraud prevention, policy compliance, marketplace integrity, or legal compliance. Review does not make us responsible for user content or for validating every right, consent, release, sensor stream, label, or data provenance claim.
4. Bounties, listings, and orders
Buyers may create bounties, requests, or orders that describe the desired dataset, collection protocol, hardware environment, annotations, metadata, delivery format, acceptance criteria, license scope, usage restrictions, privacy requirements, security requirements, and compensation. Suppliers may create listings or submit bids based on those requirements.
Once accepted through the service, the applicable bounty, listing, bid, order, or written statement of work becomes part of the transaction terms between the relevant parties. You are responsible for reading the transaction terms before accepting, uploading, collecting, downloading, or using any dataset material.
5. Supplier and contributor obligations
If you upload, list, collect, annotate, label, record, deliver, or otherwise provide dataset materials, you represent that you own or control all rights needed to do so and that you have obtained all permissions, notices, consents, releases, licenses, and approvals required for the advertised and accepted uses. This includes any rights in images, video, audio, 3D captures, telemetry, sensor streams, robot logs, motion data, likenesses, voices, locations, personal information, biometric information, copyrighted works, trade secrets, or third-party equipment visible or embedded in the materials.
You must accurately describe dataset provenance, collection conditions, consent status, geographic scope, hardware used, annotation methodology, known limitations, restricted categories, license restrictions, and any third-party dependencies. You must maintain reasonable records supporting those claims and provide them when required by a bounty, buyer due diligence request, or marketplace compliance review.
Do not submit regulated health information, children's data, sensitive personal information, biometric identifiers, precise location data, government identifiers, payment card data, confidential third-party information, unlawful recordings, malware, exploit code, or materials subject to export, sanctions, or national security restrictions unless the applicable order expressly permits it and you have documented authority to provide it.
6. Buyer responsibilities
Buyers may use dataset materials only within the license, restrictions, confidentiality terms, and permitted-use language stated in the applicable transaction. Buyers are responsible for confirming that purchased or downloaded materials are appropriate for their intended training, evaluation, benchmarking, simulation, fine-tuning, robotics, autonomy, research, safety, or commercial use.
Unless the transaction terms expressly permit it, buyers may not re-identify individuals, extract biometric identifiers, remove provenance or license notices, resell raw dataset materials, combine materials in a way that violates consent or privacy restrictions, use materials for unlawful surveillance, or deploy models trained on the materials in safety-critical physical systems without appropriate validation, human oversight, and risk controls.
7. Dataset rights and platform license
As between users and truelabel, suppliers retain ownership of dataset materials they provide, subject to the rights they grant to buyers and to truelabel. Buyers receive only the license stated in the applicable bounty, listing, order, or written agreement. A purchase or payout does not transfer broader rights by default.
You grant truelabel a non-exclusive, worldwide, sublicensable license to host, copy, process, preview, analyze, QA, transform, transmit, display, and store your submitted content as needed to operate the service, enforce these Terms, complete accepted transactions, prevent fraud, resolve disputes, maintain audit trails, and comply with law. Public listing metadata, sample previews, supplier names, organization names, and marketplace activity may be visible to other users where the product experience makes that visibility clear.
8. AI training and derived data
truelabel is built for AI data transactions, but private dataset materials are not automatically available for our own general-purpose model training. Unless an applicable order, written agreement, or product setting expressly authorizes it, we do not use private buyer or supplier dataset materials to train foundation models or unrelated commercial AI models.
We may use aggregated, de-identified, or operational data derived from marketplace activity to improve search, matching, QA, duplicate detection, fraud prevention, pricing guidance, safety checks, analytics, and product reliability. Buyers may train, evaluate, or build models on licensed dataset materials only to the extent allowed by the applicable transaction terms.
9. Review, acceptance, and disputes
Deliveries may be subject to automated review, human review, buyer-side acceptance, metadata checks, sampling, license checks, or other QA steps described in-product or in the applicable order. A delivery may be rejected, remediated, partially accepted, or escalated if it appears incomplete, mislabeled, duplicated, nonconforming, unauthorized, unsafe, fraudulent, or otherwise inconsistent with the transaction terms.
If a buyer or supplier disputes acceptance, quality, rights, payment, or license scope, the parties must provide reasonable supporting materials through the service or by email. We may help administer the dispute process, but unless we separately agree in writing, we are not an arbitrator and do not provide legal advice about dataset ownership, consent, privacy, or model-use rights.
10. Payments, fees, taxes, and refunds
Deposits, charges, payouts, refunds, invoices, tax forms, and payment-method storage may be handled by third-party payment processors. Their terms and privacy policies apply to payment processing. truelabel is not a bank, money transmitter, escrow agent, trustee, or fiduciary unless a separate written agreement expressly says otherwise.
Fees, commissions, payout timing, refund rules, currency handling, chargeback handling, and applicable taxes are disclosed in-product or in the applicable transaction terms. You are responsible for taxes, filings, withholding, permits, and registrations associated with your marketplace activity, except where truelabel is legally required to collect or report them.
11. Confidentiality
Nonpublic bounties, bids, pricing, technical specifications, collection protocols, credentials, private dataset materials, security information, review feedback, and business information exchanged through the service must be treated as confidential unless they are marked public, already lawfully public, or the relevant party authorizes disclosure.
You may use confidential information only to evaluate, perform, or administer the relevant marketplace transaction. You must protect it using reasonable security measures and may not disclose it to third parties except to employees, contractors, advisors, or service providers who need access and are bound by appropriate confidentiality obligations.
12. Privacy, security, and personal data
Our handling of account, usage, and marketplace personal information is described in our Privacy Policy. If you submit dataset materials that contain personal information, you are responsible for ensuring that collection, upload, sharing, licensing, and downstream use are lawful and consistent with all notices, consents, releases, and transaction terms.
You must promptly notify us if you believe credentials, private dataset materials, personal information, or confidential information in the service have been compromised. You may not test security controls, scan nonpublic systems, bypass access controls, scrape private data, or access another user's materials without written authorization.
13. Prohibited conduct
You may not use the service to violate law, infringe rights, misrepresent dataset provenance, bypass quality or eligibility controls, manipulate reviews, submit fraudulent work, scrape or crawl nonpublic content, reverse engineer the service, interfere with service integrity, introduce malware, harass others, create duplicate accounts to evade enforcement, transact with sanctioned parties, or use automated agents to perform marketplace work unless the relevant bounty expressly allows it.
14. Third-party services
The service may integrate with hosting, storage, authentication, analytics, email, payment, compliance, labeling, annotation, browser automation, dataset hosting, repository, or collaboration tools. Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party products or for your decision to connect, export, download, or process data through them.
15. Suspension and termination
You may stop using the service at any time. We may limit, suspend, or terminate access to accounts, files, listings, bounties, payouts, or features if we believe there is a violation of these Terms, nonpayment, legal risk, security risk, fraud risk, rights concern, abusive behavior, sanctions issue, repeated quality failure, or other conduct that could harm users, truelabel, or the marketplace.
Termination does not cancel obligations that should reasonably survive, including payment obligations, license restrictions, confidentiality, privacy obligations, dispute cooperation, indemnity, limitations of liability, and rights already granted under completed transactions.
16. Disclaimers and liability limits
The service and marketplace content are provided "as is" and "as available." To the fullest extent permitted by law, truelabel disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and error-free operation. We do not warrant that datasets are complete, unbiased, suitable for a particular robotics system, safe for deployment, free of personal information, or legally sufficient for your use case.
To the fullest extent permitted by law, truelabel will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, goodwill, business opportunity, model performance, or production uptime. Unless a separate written agreement states otherwise, our total liability for any claim relating to the service will not exceed the greater of the amount you paid to truelabel for the specific transaction giving rise to the claim during the three months before the event or USD $100.
17. Indemnity
You will defend, indemnify, and hold harmless truelabel and its personnel from claims, damages, losses, liabilities, costs, and expenses arising from your use of the service, your dataset materials, your violation of these Terms, your violation of law, your infringement or misappropriation of rights, your failure to obtain required consents or releases, or your downstream use of marketplace materials.
18. Changes to these Terms
We may update these Terms as the service, marketplace, law, or risk profile changes. Material changes will be posted on this page and, where appropriate, communicated in-product or by email. Continued use after changes take effect means you accept the updated Terms. If you do not accept them, you must stop using the service.
19. Governing law, notices, and contact
Unless a separate written agreement states otherwise, these Terms are governed by the laws of the jurisdiction where the Provider is organized, without regard to conflict-of-law rules. Notices to you may be provided through the service, by email, or by other reasonable means. Questions about these Terms can be sent to partners@truelabel.ai.
